Yancoal will acquire the entire share capital of Kestrel Coal Group, which holds an 80% interest in the Kestrel Coal Mine, a metallurgical coal asset in Queensland's Bowen Basin. Upfront cash consideration paid at completion was US$1.85 billion, subject to customary completion adjustments.
The company said the consideration was funded through available cash and an initial drawdown of its five-year US$1.2 billion acquisition loan facility. A separate US$200 million committed working capital facility remained undrawn at the time of the announcement.
Yancoal said it will recognise its share of attributable Kestrel production, revenue and earnings from 1 October 2026. Contingent cash consideration of up to US$550 million remains dependent on the benchmark coal price exceeding US$225 per tonne in any of the first five years after completion.
