AngloGold Ashanti exercises Lake Carey tenement option early for A$55m

Matsa Resources said its relevant wholly owned subsidiaries and AngloGold Ashanti Australia have entered a revised tenement option agreement, under which AngloGold has formally exercised its option early to acquire tenements covered by the agreement at Matsa's Lake Carey Gold Project near Laverton, Western Australia.

The revised agreement replaces a purchase-price formula linked to the gold price and deferred consideration with a fixed aggregate payment of A$55 million, according to Matsa. The company said A$10 million is due within three business days after AngloGold receives an invoice, with the A$45 million balance payable at completion.

Matsa said completion is scheduled within 15 business days after the completion conditions are met. Those conditions include ministerial consent for the tenement transfers and a limited number of third-party consents for assignment of contractual rights linked to the sale assets.

The company said the majority of the Lake Carey Gold Project, including the Fortitude North and Fortitude Gold projects, remains with Matsa. AngloGold has a 12-month first right of refusal over the Fortitude North tenement, ending on 21 September 2027, if Matsa receives a bona fide third-party offer.
