Sais Nordeste operates a magnesium sulphate plant in Feira de Santana, Bahia, which has been under care and maintenance since February 2026. BCM said it has also secured local Brazilian supply agreements for magnesium oxide and sulphuric acid, the principal raw materials used in magnesium sulphate production.
Under the transaction structure, BCM will begin funding and overseeing the financial and operational restructuring of Sais Nordeste. The company said the programme is intended to address legacy liabilities, support a return to sustainable commercial operations and restore operating self-sufficiency. The 90% interest is to transfer on completion after conditions precedent and required approvals are satisfied.
BCM said initial production capacity is expected to supply about 50% of the Ema Rare Earth Project's magnesium sulphate requirements, with potential to exceed the project's forecast requirements. Magnesium sulphate is proposed as the principal leaching reagent for Ema's in-situ recovery process.
The agreement provides for nominal cash consideration of R$1 and the assumption of identified tax liabilities. BCM said legacy tax and other obligations were estimated at R$15.3 million, or about A$4.2 million, with most intended to be scheduled over 10 years, while an engineering assessment of plant modifications for Ema has commenced.
