South32 shareholders approve Alcoa AliGroup transaction

Alcoa said South32 shareholders approved the proposed AliGroup transaction on October 15, 2026. The company said it is progressing regulatory approvals and integration planning, with closing expected in the first half of 2027 subject to remaining approvals and conditions.

Alcoa said it completed a US$2.6 billion debt issuance to fund the transaction's cash consideration. The company said the financing reduced risk to closing and that its cash balance was in excess of the US$3.1 billion cash consideration for the acquisition.

Alcoa presented preliminary first-half 2026 pro forma information showing combined annualised alumina production of 14.2 million metric tons and aluminium production of 3.3 million metric tons. It cautioned that the pro forma information is subject to change and is not indicative of future results.
